Some of your most valuable work should stay private.

Recognise what should stay confidential

Trade secrets can include commercially valuable information that is secret, known only to a limited group, and subject to reasonable measures to keep it confidential. Examples can include technical know-how or business information; the relevant legal requirements depend on the jurisdiction.

Turn “confidential” into a working practice

Create an inventory of sensitive information. Decide who needs access, where the information is stored and how it is shared. Access controls, clear internal rules and suitable confidentiality agreements can be part of the measures used. A label alone is not an information-handling process.

An example: a manufacturing discussion

Imagine a small company sharing a production method with a prospective supplier. Before sending a full technical folder, it can identify what the supplier needs at that stage, agree appropriate confidentiality terms and record the disclosure. This example illustrates preparation; it does not establish that a particular agreement is sufficient.

Make offboarding part of the plan

Keep track of access when a project ends or a person leaves. Review shared folders, devices and permissions, and retain records of the applicable agreements. Ask a professional how contractual duties and the law apply to your situation.

Know the limits

Trade secret protection does not generally stop independent development or lawful reverse engineering. Discuss whether secrecy, a patent strategy or another route is suitable before deciding how to manage valuable technical information.
